Understand the proportional arithmetic

Let annual earnings be one unit solely to keep the calculation clear:

  1. Seller’s total value expectation: 4 units.
  2. Buyer’s available value for the initial economic interest: 3 units.
  3. Proportional share: 3 ÷ 4 = 75%.
  4. Seller’s remaining economic participation: 25%.

These units are multiples of the same earnings base, not a stated pound amount. The arithmetic explains the proposed compromise; it does not determine control rights or a final contractual equity value. Cash, debt, fees and any other adjustments still require agreement.

The retained stake remains an investment

The seller continues to bear business and financing risk through the retained shares.
