An agreement that places one creditor’s rights behind another’s in specified circumstances.

Subordination coordinates competing creditor claims. In an acquisition with both bank debt and seller lending, the bank may require the seller’s position to sit behind its own. The practical questions concern permitted payments, enforcement and what happens when the borrower cannot satisfy everyone. Those details depend on the documents; the word junior alone cannot supply them.

The collection identifies a subordination deed making the bank senior and the sellers junior in a closing package. That is a useful concrete mechanism. It does not disclose a complete intercreditor agreement, including payment blocks, standstill periods, enforcement control or permitted refinancing. Fund Launch’s mezzanine guide adds the creditor-side questions: can senior default block cash payments to the junior lender, how long must it wait before enforcement, and can it cure a default? Those rights are negotiated in intercreditor documents. This expands the general explanation, but does not reveal the clauses in Sey’s reported seller-debt transaction. Seller debt ranking behind a bank does not by itself prove a mezzanine product was used. Nor does preferred equity become mezzanine simply because it has priority economics.
